If you have questions about a hotel’s policies, reservation, charges, amenities, room, check-in, or stay, contact the hotel directly.

4. Austin Recommendations and Local Content

The Service may provide information about third-party businesses, venues, attractions, restaurants, events, transportation providers, walking routes, and activities in Austin. This information may include:

  • Addresses

  • Hours

  • Prices

  • Booking links

  • Distance and travel estimates

  • Accessibility information

  • Event details

Information may change without notice. Businesses may close, change hours, sell out, change prices, move locations, or change their policies. You should verify important information directly with the relevant business or official source before traveling, purchasing tickets, making reservations, or relying on accessibility, transportation, safety, or timing information.

Austin Hotel Concierge does not guarantee that any third-party business, event, activity, transportation provider, or recommendation will be available, suitable, safe, accessible, accurate, or satisfactory.

5. AI-Generated Information

The Service may use artificial intelligence to answer questions, personalize recommendations, generate itineraries, summarize information, and assist with hotel or Austin planning.

AI-generated information may be incomplete, outdated, inaccurate, or unsuitable for your circumstances. AI responses should not be treated as:

  • Professional travel advice

  • Legal advice

  • Medical advice

  • Emergency guidance

  • Safety guarantees

  • Accessibility certifications

  • Transportation guarantees

  • Confirmed booking or ticket availability

  • A substitute for contacting the hotel or service provider

You are responsible for verifying important information, including:

  • Event dates and times

  • Opening hours

  • Prices

  • Availability

  • Ticket requirements

  • Reservation requirements

  • Travel times

  • Transportation conditions

  • Accessibility

  • Age restrictions

  • Venue policies

After a guest has booked a hotel, the Service is intended to focus on hotel services, transportation, dining, activities, events, and itineraries. It is not intended to provide alternative accommodation recommendations unless clearly stated and authorized in the applicable experience.

6. Travel, Safety, Accessibility, and Emergency Information

The Service may provide general travel and local information. It does not guarantee safety, security, medical suitability, accessibility, transportation availability, or the accuracy of walking or driving routes.

Do not rely on the Service for emergencies. In an emergency, contact 911 or the appropriate local emergency service.

For accessibility needs, dietary restrictions, medical requirements, mobility concerns, or special assistance, contact the relevant hotel, venue, restaurant, transportation provider, or activity provider directly before relying on the information.

7. Third-Party Services and Links

The Service may contain links, integrations, booking tools, maps, payment providers, transportation services, restaurant platforms, event websites, weather services, email providers, SMS providers, property-management systems, and other third-party services.

Third-party services are governed by their own terms and privacy policies. Austin Hotel Concierge does not control and is not responsible for:

  • Third-party websites

  • Third-party content

  • Third-party availability

  • Third-party pricing

  • Third-party bookings

  • Third-party cancellations

  • Third-party refunds

  • Third-party security

  • Third-party privacy practices

  • Third-party service quality

If you make a reservation, purchase, booking, or payment through a third-party provider, your relationship is primarily with that provider and/or the applicable hotel or business.

8. Bookings, Payments, and Referrals

Austin Hotel Concierge may provide links or referrals to hotels, restaurants, tours, activities, transportation providers, event organizers, or other businesses.

Unless explicitly stated, Austin Hotel Concierge is not the seller, provider, operator, or organizer of the third-party service.

The Service may contain sponsored, preferred, affiliate, or commission-generating recommendations. Where required or appropriate, these relationships will be identified.

A recommendation’s appearance in the Service does not constitute an endorsement or guarantee.

If the Service offers paid subscriptions, pilot plans, setup fees, add-ons, or other business services to hotels, those services may be governed by a separate order form, subscription agreement, proposal, or commercial agreement. If there is a conflict between these Terms and a signed commercial agreement, the commercial agreement will control for that business relationship.

9. Cloudbeds and Other Integrations

The Service may support or seek to support integrations with property-management systems, including Cloudbeds, where official API access, permissions, account configuration, and technical requirements allow.

Cloudbeds is a trademark of its respective owner. Austin Hotel Concierge is not affiliated with, sponsored by, or endorsed by Cloudbeds unless expressly stated in a separate written agreement.

Integration availability may vary by:

  • Hotel account

  • Subscription plan

  • API access

  • OAuth permissions

  • Webhook availability

  • Marketplace requirements

  • Messaging configuration

  • Security review

  • Technical limitations

Hotels are responsible for authorizing integrations and ensuring that they have the right to provide the relevant data. Austin Hotel Concierge will use integration data according to the applicable agreement, privacy notice, and configuration.

10. Guest Access Links and Security

Some guests may access the Service through a hotel-specific link, QR code, email, SMS, or digital check-in flow. You agree not to:

  • Share a private guest access link improperly

  • Attempt to access another guest’s information

  • Modify a URL or request to access another hotel

  • Circumvent access controls

  • Use an expired or revoked token

  • Attempt to access hotel administration areas

  • Use the Service to obtain unauthorized reservation information

Access links may expire, be revoked, or stop working when a reservation is cancelled, a trial ends, or a hotel disables access.

Notify us or the applicable hotel promptly if you believe an access link or account has been compromised.

11. Accounts and Hotel Administrator Responsibilities

Hotel administrators and staff are responsible for:

  • Keeping login credentials confidential

  • Assigning appropriate staff permissions

  • Removing former staff users

  • Reviewing published hotel information

  • Maintaining accurate hotel policies and services

  • Approving local recommendations

  • Reviewing reported inaccuracies

  • Protecting API credentials and integrations

  • Complying with applicable communication and privacy laws

You are responsible for all activity conducted through your account unless caused by our breach of applicable security obligations.

12. User Content and Feedback

You may be able to submit questions, reviews, feedback, corrections, recommendations, comments, images, text, or other content (“User Content”).

You retain ownership of your User Content. By submitting User Content, you grant Austin Hotel Concierge a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and use it as necessary to operate, improve, secure, and support the Service.

  • You own or have permission to submit the content

  • The content is accurate to the best of your knowledge

  • The content does not violate another person’s rights

  • The content does not contain confidential or sensitive information

  • The content does not contain malicious code

  • The content is not unlawful, abusive, defamatory, or misleading

14. Intellectual Property

The Service, including its software, design, branding, interfaces, AI prompts, documentation, logos, content, databases, and technology, is owned by or licensed to Austin Hotel Concierge and is protected by applicable intellectual-property laws.

Except as expressly permitted, you may not:

  • Copy the Service

  • Modify the Service

  • Resell or sublicense the Service

  • Remove branding or legal notices

  • Create derivative works

  • Use our trademarks without permission

  • Copy our content or user interface

  • Use automated tools to extract data

Hotels may use their own branding and approved content within their configured experience, subject to the applicable agreement.

15. Privacy

Your use of the Service is also governed by our Privacy Policy: https://www.austinhotelconcierge.com/privacy-policy

The Privacy Policy explains what information we collect, how we use it, how we share it, retention practices, and applicable user choices.

Hotels may have separate privacy obligations relating to guest data, marketing communications, reservation data, and hotel operations.

Do not submit payment-card information, passport information, government identification, medical information, or other sensitive personal information through an open chat or general form unless the relevant feature specifically requests it and appropriate safeguards are in place.

16. Communications

If you provide your email address or phone number, you may receive service-related communications, such as:

  • Account notifications

  • Trial invitations

  • Access links

  • Security messages

  • Reservation-related concierge messages

  • Support responses

  • Billing notifications

Marketing communications will be sent according to applicable law and consent requirements. You may unsubscribe from marketing emails using the unsubscribe link or contact us using the information below.

SMS communications may require separate consent. Standard message and data rates may apply. Reply STOP to opt out and HELP for assistance where applicable.

17. Service Availability and Changes

We may modify, suspend, or discontinue all or part of the Service at any time, including features, integrations, content sources, AI providers, or third-party connections.

We do not guarantee that the Service will always be:

  • Available

  • Uninterrupted

  • Error-free

  • Secure against every possible threat

  • Compatible with every device or integration

  • Free from delays or technical problems

We may perform maintenance, updates, security improvements, or emergency changes.

18. Force Majeure

We will not be liable for any failure or delay in performance of the Service to the extent caused by circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, fire, flood, or severe weather

  • War, terrorism, civil unrest, or government action

  • Public health emergencies

  • Labor disputes or strikes

  • Internet, telecommunications, or utility outages

  • Failure or outage of a third-party service, hosting provider, cloud platform, payment processor, AI provider, or property-management system (including Cloudbeds)

  • Cyberattacks, denial-of-service attacks, or other malicious third-party conduct directed at us or our service providers

  • Changes in law or regulation affecting our ability to provide the Service

If a force majeure event continues for an extended period, either party may suspend the affected obligations for the duration of the event. This section does not excuse payment obligations already due.

19. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

Austin Hotel Concierge disclaims all warranties, express or implied, including warranties of:

  • Accuracy

  • Availability

  • Reliability

  • Fitness for a particular purpose

  • Merchantability

  • Non-infringement

  • Suitability

  • Safety

  • Accessibility

  • Completeness

  • Results or outcomes

We do not guarantee that the Service will result in increased bookings, revenue, guest satisfaction, positive reviews, reduced staff workload, or any other business outcome.

20. Limitation of Liability

To the maximum extent permitted by law, Austin Hotel Concierge and its owners, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of:

  • Revenue

  • Profits

  • Bookings

  • Data

  • Goodwill

  • Business opportunities

  • Reputation

  • Use

  • Availability

This includes losses arising from:

  • Use or inability to use the Service

  • AI-generated information

  • Incorrect or outdated recommendations

  • Third-party services

  • Event changes

  • Transportation delays

  • Restaurant or activity availability

  • Hotel information

  • Integration failures

  • Unauthorized access

  • Service interruption

To the extent permitted by law, our total liability for claims related to the Service will not exceed the amount you paid to us for the Service during the twelve months before the event giving rise to the claim, or $100, whichever is greater.

Carve-outs. Nothing in this section limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury caused by our negligence, to the extent such liability cannot be limited or excluded under applicable law; (d) violations of applicable law that cannot be limited by agreement; or (e) our indemnification obligations expressly stated in these Terms, if any.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Added: the paragraph above beginning “Carve-outs” is new. A liability cap with no exceptions is more likely to be challenged as unconscionable or unenforceable in its entirety; carving out fraud, gross negligence, willful misconduct, and non-waivable statutory liability (e.g., certain Texas DTPA claims) is intended to make the remaining cap more defensible. Confirm scope and wording with counsel.

21. No Fiduciary or Advisory Relationship

Your use of the Service does not create a fiduciary, advisory, joint venture, partnership, agency, or employment relationship between you and Austin Hotel Concierge. Austin Hotel Concierge acts solely as a technology platform provider. Nothing in these Terms or in any AI-generated output, recommendation, or communication should be construed as creating a duty of care beyond the express obligations stated in these Terms or in an applicable signed commercial agreement.

New section. This forecloses claims premised on an implied duty of care broader than the contract itself — for example, an argument that an AI recommendation created an advisory relationship with heightened obligations.

22. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Austin Hotel Concierge and its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your User Content

  • Your misuse of guest, hotel, or third-party data

  • Your violation of another person’s rights

  • Your unauthorized communications

  • Your violation of applicable laws

  • Your use of third-party services

23. Suspension and Termination

We may suspend or terminate access to the Service if:

  • You violate these Terms

  • You misuse the Service

  • You create security or legal risk

  • Your account is fraudulent

  • Payment obligations are not met

  • A hotel disables access

  • An integration is revoked

  • The Service is discontinued

Hotels may stop using the Service according to their applicable commercial agreement.

After termination:

  • Access may be disabled

  • Guest links may expire

  • Trial environments may be deleted

  • Paid features may be disabled

  • Certain records may be retained as required by law or contract

  • Sections that should survive termination will remain effective

24. Dispute Resolution, Arbitration, and Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Before filing a formal legal claim or arbitration demand, you agree to contact us at info@austinhotelconcierge.com and allow at least 30 days to resolve the issue informally.

Agreement to Arbitrate. Except as set out below, you and Austin Hotel Concierge agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, for disputes with hotel or business accounts, its Commercial Arbitration Rules), rather than in court, except that either party may bring an individual action in small-claims court for qualifying disputes.

Class Action and Jury Trial Waiver. You and Austin Hotel Concierge agree that any Dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims. You and Austin Hotel Concierge each waive any right to a jury trial.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@austinhotelconcierge.com within 30 days of first accepting these Terms. Your notice must include your name, the hotel or account you are associated with, and a clear statement that you opt out of arbitration. If you opt out, this arbitration section will not apply to you, and any Dispute will be resolved in the courts described below.

Venue for Non-Arbitrable Disputes. For any Dispute not subject to arbitration (including as a result of an opt-out, small-claims filing, or a determination that this arbitration section is unenforceable as to a particular claim), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

[CONFIRM] This entire section is a starting point, not final language. Have Texas counsel confirm: (a) whether AAA is the intended arbitration administrator or whether a different provider/rule set is preferred; (b) the opt-out window and delivery mechanism; (c) whether an arbitration clause is desired for guest users (who may not have affirmatively agreed via clickwrap) as well as hotel business accounts; and (d) enforceability of the class-action waiver for your specific user base under the Federal Arbitration Act and Texas law.

25. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we may post the updated Terms, update the “Last Updated” date, or provide notice through the Service.

Your continued use of the Service after updated Terms become effective means that you accept the revised Terms.

26. General Terms

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms, together with any applicable commercial agreement, Privacy Policy, and other policies referenced here, constitute the agreement between you and Austin Hotel Concierge regarding the Service.
